AFEP-MEDEF RECOMMENDATIONS
During its meeting held on December 19, 2008, the Board of Directors reviewed the AFEP-MEDEF recommendations dated October 6, 2008 concerning compensation for executive officers of French-listed companies.
The Board concludes that these recommendations are consistent with the corporate governance principles of CGGVeritas.
After deliberation, the Board decided that, starting with fiscal year 2008, the AFEP-MEDEF code of corporate governance as amended by these recommendations will be the basis for the preparation of the report required by Article L. 225-37 of the French commercial code, in accordance with the Act of July 3, 2008.
